Current report on Form 8-K

M8.01

Also called 8-K, current report, material event disclosure.

The filing an American company makes when something material happens between periodic reports: an acquisition, a departure, an auditor change, a covenant breach, or an impairment.

The Indian equivalent is the material-event disclosure filed with the exchanges under the listing regulations, with prescribed timelines.

These filings are where bad news appears first and where it appears in its least processed form, which is why setting an alert on them for a watchlist is worth more than reading any newsletter.

Auditor changes and departures of finance officers are the two categories to read every time.
