Board pack contents

The contents of a board pack, behind the decisions page, are a standing section in four parts: performance, risk, people and capital. It keeps the same shape every quarter, which lets a director find the one thing that moved in ninety seconds. Performance tracks a fixed set of metrics against plan and the prior year, and the risk register must show something changing status each quarter.

Behind the decisions comes a standing section that's the same shape every quarter, and the sameness is the feature. A director who has seen the identical four-part structure six times can find the one thing that moved in ninety seconds. Try that in a pack that reinvents its layout each quarter around whatever the executives found interesting.

What goes in the performance section?

The performance section is the operating picture against plan and against the prior year, in a fixed set of metrics that don't change unless the board agrees to change them. Nilgiri Leaf's standing performance page carries net revenue, contribution margin, contribution in rupees, net burn and closing cash, for eight quarters. Eight quarters is the right window because it shows two full seasonal cycles, and a line chart of eight points shows a turn that a two-period comparison hides.

Contribution margin over those eight quarters runs 26.80, 26.10, 25.40, 24.60, 23.90, 22.70, 21.10 and 19.80 percent, a straight decline through every quarter of the series. No single quarterly comparison reveals that. A line shows it immediately, so the standing metric set goes on a line chart, never on a table of the last two quarters.

What goes in the risk and people sections?

The risk section is the register, meaning the exposures the board has accepted, each with its owner, its current status and what would change the status. You can tell a working risk section from theatre by whether anything moves. A risk must be able to change colour between quarters, and something must have changed colour this quarter, or nobody is maintaining the register. A register where everything has been amber for six quarters has stopped being read.

The people section covers the executive team, the key-person exposures, the open critical roles and the attrition that matters. Boards are unusually good here, because directors have hired and lost senior people themselves. A short, candid people page buys more useful board input per minute than almost any other page.

What goes in the capital section, and what needs a source?

The capital section covers the cash position, the runway, the covenant position and the next financing event. Nilgiri Leaf's runway line reads: ₹62.40 crore of cash against a net burn of ₹7.80 crore a quarter, which is 8.000 quarters or 24.00 months at the current rate. Those last four words matter. Burn has risen in each of the seven quarters the series covers, from ₹3.10 crore to ₹7.80 crore, so the flat-rate runway is the optimistic reading, and the page says so.

Perishable figures live in the standing pack, so that's where verification bites hardest. Any covenant threshold, tax rate, statutory limit or regulatory ratio quoted in a standing section carries its source and the date it was checked. These move by circular, and a pack that hardened one two years ago has been wrong every quarter since, without anyone noticing.
